General

These Terms of Use are applicable to services provided by Vilbil.Art (referred to as “we” or “our”).

By Customer (or “you”) we mean the legal entity that is ordering services offered by Vilbil.Art, along with any of its affiliates and their employees or representatives.

This Agreement shall remain in full force and effect while you use the Services. You may terminate your use of the Services at any time, for any reason, and Vilbil may also terminate your access at any time, for any or no reason, with or without prior notice or explanation.

Confidentiality

Each party agrees that all code, inventions, know-how, and business, technical, and financial information disclosed to the other party (“Receiving Party”) by the disclosing party ("Disclosing Party") constitute Confidential Information, provided such information is identified as confidential at the time of disclosure or should reasonably be understood to be confidential given the nature of the information and circumstances of disclosure.

The Receiving Party agrees to hold such information in confidence and not disclose it to third parties or use it for any purpose other than as permitted under these Terms. Disclosure to employees, contractors, or agents is allowed if they are under confidentiality obligations and the Receiving Party remains responsible for their compliance.

Confidentiality obligations do not apply to information that:

  • was lawfully known prior to disclosure;
  • becomes public through no fault of the Receiving Party;
  • is disclosed by a third party without breach of obligations;
  • is independently developed without reference to the confidential information.

Disclosure is also permitted if required by law, regulation, or court order, provided that advance notice is given and only the minimum required information is disclosed.

Liability

Our liability to you is limited as follows:

  • We shall not be liable for indirect or consequential losses, including loss of profits, even if foreseeable.
  • Our total liability shall not exceed the total amount paid by you for the applicable services during the Subscription Period in which the issue arose. If you used the services for free or under a trial period, we disclaim all liability and no compensation will be due.

WARRANTY DISCLAIMER

ALL SERVICES ARE PROVIDED “AS IS.” WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF NON-INFRINGEMENT, TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND FUNCTIONALITY.

We do not guarantee that services will be error-free, uninterrupted, or secure. We are not responsible for your data as it travels over networks we do not control. We do not guarantee our security systems are impenetrable or that unauthorized parties will never access your data.

We are not liable for internet or third-party system issues. Any statutory rights you may have will be limited to the shortest period allowed by law.

Intellectual Property Rights

All trademarks, logos, copyrights, and other intellectual property used by Vilbil are the property of Vilbil or its licensors. You may not use, copy, distribute, or alter any such materials without prior written consent.

You grant us a non-exclusive, irrevocable, royalty-free, worldwide license to use your name and trademarks in marketing, promotional materials, and media, in accordance with your brand guidelines, if provided.

Terms

These Terms take effect from the Effective Date and continue until terminated as described below or until all Subscription Terms expire.

Terminations

Either party may terminate these Terms (including related orders) if the other party:

  • Fails to cure a material breach within 30 days of written notice;
  • Ceases business operations without a successor;
  • Becomes the subject of bankruptcy, insolvency, or similar legal proceedings not resolved within 60 days.

You may terminate at any time with written notice, but:

  • No refunds will be given for prepaid fees;
  • All unpaid amounts for the current term become immediately due.

Changes and Additions

We may update these Terms at any time. The most current version will always be posted on Vilbil.Art. Changes take effect the next business day after they are published.
