Effective Date: Upon submission, upload, or other disclosure of any Confidential Materials, or registration on The Vilbil (Vilbil.Art)

Recitals and Intent

This Non-Disclosure Agreement (the “Agreement”) is a public offer issued by Vilbil Art LLP (the “Company”), acting as the owner and operator of The Vilbil: Online Hub for Art and Artists (“The Vilbil” or the “Platform”), to any individual artist, art collective, or authorized representative (collectively, the “Artist”) who discloses digital artworks, images, files, or related materials for evaluation, preparation, or potential inclusion in The Vilbil ecosystem.

The purpose of this Agreement is to ensure that materials shared by the Artist are handled with confidentiality, care, and professional diligence. Such materials shall not be disclosed or used beyond the limited scope of evaluation and preparation for exhibition, unless the Artist expressly authorizes broader use under a separate public offer, including the Artist Participation & License Agreement.

By submitting, uploading, or otherwise disclosing any digital artwork, image, file, or related information to the Company, the Artist confirms acceptance of this Agreement.

1. Definitions

1.1. “Confidential Materials” means any digital artworks or related materials disclosed by the Artist, including images, 3D files, videos, drafts, works-in-progress, texts, descriptions, and credits.

1.2. “Permitted Purpose” means the Company’s internal evaluation, preparation, or coordination strictly necessary to assess potential inclusion of the Artist’s works in The Vilbil.

1.3. “Permitted Recipients” means the Company’s employees or contractors who require access to the Confidential Materials solely for the Permitted Purpose and are bound by confidentiality obligations.

1.4. “Technical Adaptations” means necessary transformations such as resizing, format conversion, or preview rendering performed without altering the meaning or integrity of the work.

2. Purpose and Scope

Confidential Materials are disclosed solely for the Permitted Purpose and shall not be used for public display, promotion, or commercial exploitation without separate explicit authorization.

3. Confidentiality Obligations

The Company shall:

3.1. Treat all Confidential Materials as strictly confidential.

3.2. Not disclose Confidential Materials to any third party other than Permitted Recipients.

3.3. Apply reasonable industry-standard technical and organizational safeguards.

4. Exclusions

Confidential Materials do not include information that:

  • is publicly available without breach;
  • was lawfully known prior to disclosure;
  • is independently developed;
  • is lawfully obtained from a third party.

5. No Transfer of Rights

Nothing in this Agreement transfers ownership or intellectual property rights to the Company.

6. Duration and Deletion

This Agreement remains in force for an indefinite period. Upon written request, the Company shall delete Confidential Materials under its direct control, excluding archival backups.

7. Data and Privacy

Personal data shall be processed in accordance with the Company’s Privacy Policy and applicable law.

8. Limitation of Liability

The Company shall not be liable for disclosure or loss resulting from circumstances beyond reasonable control.

9. Governing Law

This Agreement is governed by the laws of the Republic of Kazakhstan.

10. Notices

Notices to the Company shall be sent to: info@vilbil.art

11. Force Majeure

Neither Party shall be liable for failure caused by force majeure events.

12. Acceptance (Public Offer)

This Agreement constitutes a public offer. Disclosure of Confidential Materials constitutes full acceptance. No physical signature is required.
